# Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Oxiom One platform and Oxiom Invoice Processing application ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

## 2. Services

Oxiom Invoice Processing is a vendor invoice processing and Accounts Payable automation platform that helps finance teams manage incoming supplier invoices.

### 2.1 Current Features
- Invoice capture and centralized repository
- Vendor and invoice search
- Invoice status tracking
- Exception identification and management
- Multi-currency support (INR, USD, EUR)
- Audit trail and compliance documentation

### 2.2 Planned Features
AI-powered data extraction, intelligent validation, approval workflows, ERP integration, and advanced analytics are planned but not yet available. Availability dates are subject to change.

## 3. User Accounts

### 3.1 Account Creation
You are responsible for:
- Providing accurate information
- Maintaining password confidentiality
- Notifying us of unauthorized access
- Complying with all applicable laws

### 3.2 Account Termination
We may suspend or terminate accounts that violate these Terms or applicable laws.

## 4. Acceptable Use

You agree NOT to:
- Use the Service for illegal purposes
- Transmit malware, viruses, or harmful code
- Attempt unauthorized access
- Reverse engineer or decompile the Service
- Remove proprietary notices or labels
- Violate intellectual property rights
- Harass or harm other users
- Spam or abuse communication features

## 5. Data Ownership

### 5.1 Your Data
You retain ownership of all invoice data and vendor information you upload to the Service.

### 5.2 Our License
You grant us a limited license to:
- Store and process your data
- Use your data to deliver the Service
- Analyze anonymized data for improvement
- Create automated backups

### 5.3 Restrictions
We will not:
- Sell or rent your data
- Share data with third parties without authorization
- Use data for purposes beyond Service delivery (except as required by law)

## 6. Intellectual Property

The Service, including its design, functionality, and content, is owned by Oxiom and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

## 7. Warranties and Disclaimers

### 7.1 Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind.

### 7.2 Disclaimers
We disclaim all implied warranties including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted service
- Error-free operation

## 8. Limitation of Liability

We shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost revenue or business opportunity
- Data loss or corruption
- Damages exceeding fees paid in the 12 months prior to the claim

## 9. Indemnification

You agree to indemnify and hold harmless Oxiom from claims arising from:
- Your use of the Service
- Violation of these Terms
- Infringement of third-party rights
- Illegal activity

## 10. Fees and Payment

### 10.1 Pricing
Fees are based on invoice volume, users, and features selected. Current pricing is available on request.

### 10.2 Billing
Fees are billed monthly or annually according to your agreement. Late payments may result in service suspension.

### 10.3 No Refunds
Except as required by law, fees are non-refundable.

## 11. Termination

### 11.1 By You
You may terminate your account at any time through your account settings or by contacting support.

### 11.2 By Us
We may terminate service:
- For breach of these Terms
- For non-payment after 30 days' notice
- For illegal activity
- At our discretion with 30 days' notice

### 11.3 Upon Termination
Your account access will be disabled. You have 30 days to export your data before permanent deletion.

## 12. Data Processing Agreement

For EU residents and enterprise customers: A Data Processing Agreement (DPA) is available upon request to clarify our role as a data processor.

## 13. Modifications to Terms

We may modify these Terms at any time. Changes become effective upon posting. Continued use indicates acceptance.

## 14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

## 15. Dispute Resolution

Disputes shall be resolved through:
1. Good faith negotiation
2. Mediation if negotiation fails
3. Binding arbitration or litigation as a last resort
